These Terms of Use (“Terms”) govern your access to and use of sadevoretail.com, the Sadevo mobile application, and any other website, application, or service operated by Sadevo LLC (“Sadevo,” “we,” “us,” “our,” or “Company”), collectively called the “Services.” By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Services.

Sadevo LLC is a Wyoming-registered limited liability company engaged in the retail sale of beauty products, home goods, and kitchen items through our online platform (the “Services”). These Terms, along with our Privacy Policy, constitute the entire agreement between you and Sadevo regarding your use of the Services. You acknowledge that you have read these Terms and agree to comply with all terms and conditions contained herein.

Sadevo reserves the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on our website and updating the “Effective Date” above. Your continued use of the Services following such changes constitutes your acceptance of the revised Terms.

We reserve the right to revise, supplement, or modify these Terms in our sole discretion. You will be deemed to have accepted any modifications by continuing to use the Services. We encourage you to review these Terms periodically.

3. Eligibility

To use the Services, you must:

Have the legal capacity to enter into binding agreements;
Reside in a jurisdiction where Sadevo conducts business;
Provide accurate, current, and complete information during registration and account maintenance.

If you are under 18, you may not use the Services. If you are a parent or guardian of a minor who has used the Services, please contact us immediately.

4. Your Account

Account Creation. To access certain features of the Services, you may be required to create an account. You agree to:

Account Security. You are solely responsible for maintaining the confidentiality of your login credentials. Sadevo is not responsible for any loss or damage resulting from unauthorized access to your account due to your failure to maintain confidentiality.

Account Termination. Sadevo reserves the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent, threatening, abusive, or otherwise inappropriate conduct. Upon termination, your right to use the Services immediately ceases.

5. Intellectual Property

Ownership. All content on the Services, including but not limited to text, graphics, images, logos, product descriptions, photographs, videos, and software (collectively, “Materials”), is the property of Sadevo LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

License Grant. Subject to your compliance with these Terms, Sadevo grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for personal, non-commercial purposes. You may not:

Reproduce, modify, or distribute any Materials without express written consent;
Use data mining, scraping, or automated tools to collect information from the Services;
Reverse engineer, decompile, or attempt to derive source code;
Create derivative works or commercial uses of any Materials;
Frame or mirror the Services on any third-party website;
Use the Services for competitive intelligence or to develop competing products or services.

Trademarks. The Sadevo name, logo, and all related marks are trademarks of Sadevo LLC. You may not use these marks without prior written permission.

6. User Submissions

If you submit reviews, comments, photos, or other content to the Services (“Submissions”), you grant Sadevo a worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and display such content for any purpose, including marketing and promotional use. You retain ownership of your Submissions but agree that Sadevo may use them without further compensation or attribution.

You agree not to submit Submissions that are:

Defamatory, libelous, obscene, or offensive;
Inaccurate or misleading;
In violation of any third-party rights;
Spam, malware, or harmful code;
Impersonating another person or entity.

Sadevo reserves the right to remove, edit, or refuse to display any Submissions at our sole discretion.

7. Use Restrictions

When using the Services, you agree not to:

Violate any applicable federal, state, or local laws;
Infringe on any intellectual property, privacy, or other legal rights;
Transmit viruses, malware, or harmful code;
Engage in unauthorized access or hacking;
Interfere with the operation or security of the Services;
Engage in phishing, fraudulent transactions, or unauthorized resale of products;
Use automated tools (bots, scrapers) without permission;
Post illegal, defamatory, threatening, or abusive content;
Attempt to circumvent security measures or restrictions.

Violation of these restrictions may result in account suspension, legal action, or both.

Your use of third-party sites is at your own risk and subject to their terms of service and privacy policies. Sadevo does not endorse or assume liability for any third-party content or services.

9. Terms of Sale; Pricing and Availability

Product Information. Sadevo strives to provide accurate product descriptions, pricing, and availability. However, we do not guarantee that all information is complete or error-free. Colors displayed on your device may not exactly match the actual product due to screen differences.

Pricing. Prices are subject to change without notice. We reserve the right to:

Correct pricing errors;
Limit quantities per order;
Refuse or cancel any order;
Offer special promotions with limited availability.

Your Order. Your receipt of an order confirmation does not constitute acceptance of your order. Sadevo reserves the right to accept or reject any order, in whole or in part, for any reason, including:

Suspected fraud or unauthorized transactions;
Product unavailability;
Pricing errors;
Violations of these Terms.

Payment. Payment must be received before orders are processed. We accept major credit cards, debit cards, and other payment methods as displayed on our checkout. All transactions are subject to verification and fraud detection. By providing payment information, you represent that you are authorized to use that payment method.

10. Shipping and Delivery

Shipping Methods. Sadevo offers various shipping options. Shipping costs and delivery timeframes are provided during checkout and may vary based on location and product type. Estimated delivery dates are provided for reference only and are not guaranteed.

Risk of Loss. For orders shipped via carrier (FedEx, UPS, USPS, etc.), risk of loss and title pass to you upon delivery to the carrier. For local delivery, risk of loss passes upon delivery to your specified address.

Delivery Issues. If your order arrives damaged or does not arrive within a reasonable timeframe, contact us immediately at info@sadevoretail.com with photographic evidence and tracking information. We will work to resolve delivery issues in accordance with our Return and Refund Policy.

International Shipping. Currently, Sadevo ships to the United States only. International customers are responsible for any customs duties or taxes.

11. Return and Refund Policy

Return Window. Most items may be returned within thirty (30) days of purchase for a refund, provided they are unused and in original condition.

Non-Returnable Items. The following items cannot be returned:

Used, damaged, or significantly altered products;
Items without original packaging or labels removed;
Clearance or final-sale items (clearly marked);
Custom or personalized products;
Consumable items (cosmetics, skincare) once opened or used;
Items damaged by customer misuse.

Return Process. To initiate a return:

Contact us at info@sadevoretail.com with your order number;
Obtain a return authorization and shipping instructions;
Ship the item back to us in original condition with all packaging;
We will inspect the returned item upon receipt.

Refund Timeline. Refunds will be processed within 7-10 business days of receiving and inspecting returned items. Refunds are credited to the original payment method.

Return Shipping. Customers are responsible for return shipping costs unless the return is due to our error or a defective product.

Defective Products. If you receive a defective or damaged product, contact us immediately with photographic evidence. We will replace the item or provide a full refund, including return shipping.

12. Disclaimers and Limitation of Liability

As-Is Disclaimer. The Services and all Materials are provided “as is” and “as available” without warranties of any kind. Sadevo disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee. Sadevo does not guarantee that:

The Services will be uninterrupted or error-free;
Defects will be corrected;
Products are suitable for your needs;
Delivery dates will be met;
Product descriptions are completely accurate.

Limitation of Liability. To the fullest extent permitted by Wyoming law, Sadevo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages. Sadevo’s maximum aggregate liability for any claim arising from these Terms or your use of the Services shall not exceed the total amount you paid Sadevo in the twelve (12) months preceding the claim, or $100, whichever is greater.

Your Sole Remedy. If you are dissatisfied with the Services or any product, your sole remedy is a refund in accordance with our Return and Refund Policy.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sadevo LLC and its officers, directors, employees, agents, and representatives from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

Your use of the Services;
Your violation of these Terms;
Your violation of any applicable law;
Your infringement of any third-party rights;
Your Submissions or content you provide;
Any transaction or order you place.

Sadevo reserves the right to assume the exclusive defense of any indemnified claim.

14. Dispute Resolution

Informal Resolution. Before pursuing formal legal action, you agree to attempt to resolve any dispute informally by contacting Sadevo at info@sadevoretail.com with a detailed description of the issue. We will respond within thirty (30) days.

Governing Law. These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Jurisdiction and Venue. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for any legal action related to these Terms or the Services. You waive any objection to personal jurisdiction or inconvenient forum.

Limitation on Legal Action. Any claim arising from these Terms or your use of the Services must be brought within one (1) year of the event giving rise to the claim, or it shall be permanently barred.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Sadevo LLC is a Wyoming limited liability company with its registered agent located at Registered Agents Inc, 30 N Gould St Ste R, Sheridan, WY 82801.

Compliance with Laws. You agree to comply with all applicable federal, state, and local laws in connection with your use of the Services. By purchasing products through the Services, you represent that you are not in violation of any trade sanctions or export restrictions.

Severability

Waiver

No waiver of any provision of these Terms shall be deemed or construed as a waiver of any other provision, nor shall any waiver constitute a continuing waiver unless otherwise expressly stated in writing.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Sadevo regarding your use of the Services and supersede all prior agreements, understandings, and negotiations, whether written or oral.
